Chad is a corporate and commercial lawyer at Lindsay Kenney LLP with a practice focused on mergers and acquisitions, business law, franchising, real estate, and strategic advisory for businesses. He brings a global perspective and a pragmatic approach to helping clients navigate complex transactions and commercial challenges.

Chad advises clients on share and asset sales, franchising, financing, and transaction structuring. He drafts and negotiates shareholder, partnership, joint venture, and employment agreements, and acts for both purchasers and vendors in real estate transactions. He also provides strategic counsel on doing business in China and the United States. Known for his thoughtful and client-focused approach, Chad ensures his clients understand each stage of the process and make informed decisions that support their goals.

Before joining Lindsay Kenney in 2018, Chad was called to the bar in Illinois in 2006 after earning his law degree from the University of Chicago. He began his career with a judicial clerkship before joining the Hong Kong office of a large U.S.-based firm, where he focused on mergers and acquisitions, securities, and cross-border commercial matters. He later served as general counsel for a technology start-up, guiding the company from formation through to profitability.

  • Advised an Australian precious metals mining and exploration company with respect to its US$90 million acquisition of a mine property in China.
  • Advised a US-based power generation equipment manufacturing and services company with respect to the US$25 million sale of its China subsidiary to European buyers.
  • Advised a US-based auto parts manufacturer with respect to the sale of its global brake business to a private equity firm and its formation of a US$60 million joint venture with a Chinese company.
  • Advised BC-based forestry company on its $27 million sale to a private equity firm.
  • Advised Fraser Valley-based company on its $2.5 million purchase of a company performing work under BC Hydro contracts.

Securities

  • Advised a TSX-listed coal mining and exploration company with respect to U.S. and Hong Kong securities law as part of its HK$2 billion secondary listing on the Hong Kong Stock Exchange.
  • Advised major global investment banks with respect to U.S. and Hong Kong securities law as part of its HK$1 billion underwriting of the listing of a China-based chemical manufacturer on the Hong Kong Stock Exchange.

Franchising

  • Advised several BC franchisees with respect to their franchise purchases and becoming franchisees.
  • Advised a Hong Kong franchisee with respect to its strained relationship with a large international franchisor and its response to contract difficulties with the franchisor.

Beyond the Office

When not at the office, Chad is a member of the board of a charitable foundation and volunteers at his children’s school. He plays hockey, chess, and poker, and enjoys film. Chad spends much of his spare time with his children and does not even mind if they beat him at Mario Kart.
